Terms of service
Last updated: Effective: [EFFECTIVE DATE]
These Terms of Service (the "Terms") are an agreement between [LEGAL ENTITY NAME], of [REGISTERED ADDRESS] ("Playbuy", "we", "us"), and the business that installs or uses the Playbuy — Shoppable Video & UGC Shopify app ("you" or the "Merchant"). They cover the app, the dashboard at app.playbuy.app, the storefront widgets, the web pixel and related services (together, the "Service").
By installing the app, or by using the Service, you agree to these Terms on behalf of your business, and you confirm that you have authority to do so. If you do not agree, do not install or use the Service. The Service is for businesses only and is not offered to consumers.
These Terms include our Acceptable Use Policy and, where we process personal data for you, our Data Processing Addendum. Our Privacy Policy explains how we handle personal data.
1. Your account
- You need an active Shopify store to use the Service. Your account is tied to that store.
- You can invite staff to your dashboard. You are responsible for who you invite, the roles you give them, and everything done under your account.
- Staff sign in through Shopify or with a single-use email link. Keep access to staff email accounts secure, and tell us promptly at security@playbuy.app if you think someone has accessed your account without permission.
2. What the Service does
The Service lets you:
- upload videos, or import them from social accounts you connect;
- tag videos with products from your Shopify catalog;
- show shoppable video widgets on your storefront through a Shopify theme app extension; and
- see engagement analytics and revenue attribution, measured through widget events and a Shopify web pixel.
We may add, change or remove features over time. We will not materially reduce the core features of a paid plan during a billing period you have already paid for. Features marked as beta, preview or "coming soon" are provided as they are and may change or be withdrawn.
3. Plans, billing and limits
Billing through Shopify
- All charges for the Service are billed by Shopify through Shopify's app billing and appear on your Shopify invoice. We do not collect payment details. Shopify's terms govern payment processing, currency conversion and taxes it collects.
- Prices are in US dollars and exclude taxes unless stated otherwise. You can pay monthly or, where offered, annually.
- The current plans and their limits are shown below and on our pricing page. If they differ, the plan you accept in Shopify's approval screen applies.
| Plan | Monthly price | Annual price | Video views per month | Widgets | Videos | Max video length |
|---|---|---|---|---|---|---|
| Free | $0 | $0 | 1,000 | 1 | 10 | 90 s |
| Starter | $19 | $190 | 15,000 | Unlimited | Unlimited | 3 min |
| Growth | $49 | $490 | 75,000 | Unlimited | Unlimited | 5 min |
| Scale | $149 | $1,490 | 300,000 | Unlimited | Unlimited | 10 min |
Free trial
Paid plans include a 14-day free trial, as shown in Shopify's approval screen. If you do not cancel or uninstall before the trial ends, Shopify starts charging for the plan you chose. Shopify decides whether a store is eligible for a trial, for example if it has used one before.
View limits are hard caps, never extra charges
- Each plan includes a monthly number of video views. We never charge overage or usage fees.
- We email your store's contact address when you reach about 80% of your monthly views.
- When you reach 100%, widgets stop playing video and show the poster image with product links instead, until your monthly views reset or you upgrade.
- If you move to a plan with lower limits, the Service shows only the widgets and videos your new plan allows (the oldest ones first). Nothing is deleted; the rest return if you upgrade again.
- The Free plan shows a small "Powered by Playbuy" link in widgets.
Changes, cancellation and refunds
- You can change plans at any time from the dashboard. Shopify applies any proration according to its billing rules.
- You can cancel at any time by moving to the Free plan or by uninstalling the app. Uninstalling the app cancels your subscription through Shopify and stops future charges.
- Refunds are handled through Shopify. Except where the law requires otherwise, fees already charged are not refundable, including for partly used billing periods. We may choose to issue a refund or credit through Shopify at our discretion.
- We may change our prices. We will give you at least 30 days' notice by email or in the dashboard. A new price applies from your next billing period after the notice, and Shopify may ask you to approve it. You can cancel before it takes effect.
- If Shopify cannot collect a charge, or marks your subscription as frozen or declined, your account moves to the Free plan limits until billing is resolved.
4. Your content
- "Merchant Content" means videos, images, captions, product tags, widget settings and other material you upload, import or create in the Service. You keep all rights in your Merchant Content.
- You give us a worldwide, non-exclusive, royalty-free licence to host, copy, store, encode, resize, display, stream and distribute Merchant Content, and to make technical changes needed to do so, only to provide and support the Service for you. This licence ends when your content is deleted from the Service, except for copies in backups that are deleted on their normal schedule.
- You confirm that you own or have all rights, licences and permissions needed for us to use Merchant Content this way. That includes permission from creators of videos you import from Instagram or other platforms, from people who appear or are heard in videos, and for any music.
- You are responsible for your Merchant Content, including that product claims in it are accurate and lawful, and that paid or gifted endorsements are disclosed as the law requires.
- You can export your video list, product tags and analytics as CSV files from the dashboard at any time.
- We may remove or disable Merchant Content that we reasonably believe breaks these Terms or the law, or after a valid notice of infringement. Where practical, we will tell you why.
Copyright notices: if you believe content shown through the Service infringes your rights, email [CONTACT EMAIL] with your contact details, the work you believe is infringed, the location of the content, and a statement that you have a good-faith belief the use is not authorized and that your notice is accurate.
5. Acceptable use
You must follow our Acceptable Use Policy, Shopify's terms and Acceptable Use Policy, and the terms of any platform you connect. We may suspend the Service or remove content to stop a serious or repeated breach.
6. Shopify and other platforms
- The Service runs on Shopify and depends on Shopify's APIs, theme app extensions, web pixels, billing and Customer Privacy API. Shopify is not a party to these Terms and is not responsible for the Service.
- If you connect a social account, such as Instagram, we access it through that platform's official API with the permissions you grant. Your use of that platform is governed by its own terms. You can disconnect it at any time from the dashboard.
- We are not responsible for third-party platforms, for their availability, or for changes they make to their APIs, policies or prices. If a platform changes or ends access, we may have to change or stop the related feature.
- We use service providers to run the Service. They are listed on our subprocessors page.
7. Privacy and your storefront
- For storefront visitor and order data, you are the controller and we act as your processor (or service provider) under our Data Processing Addendum, which forms part of these Terms.
- You are responsible for your store's privacy notice and for collecting any consent the law requires, for example through Shopify's cookie banner. The widgets and web pixel follow the consent choices that Shopify's Customer Privacy API reports. See our cookie and tracking notice.
- You must not use the Service to send us end-customer contact or payment details, or sensitive personal data, for example in video captions.
8. Our property and restrictions
We and our licensors own the Service, including its software, widgets, designs and documentation. While you use the Service, we give you a limited, non-exclusive, non-transferable right to use it for your own stores. You must not:
- copy, modify, resell, sublicense or rent the Service, or offer it to others as a service;
- reverse engineer it, except where the law allows this despite this restriction;
- access it to build a competing product, or scrape it;
- bypass plan limits, inflate views or attribution, or send fake events to our servers; or
- probe, scan or test its security, except under our responsible disclosure policy.
If you send us ideas or feedback, we may use them without any obligation to you.
9. Availability and support
We work to keep the Service available, fast and secure, but we do not promise it will be uninterrupted or error-free, and we do not offer a service-level agreement unless we agree one with you in writing. We may need to carry out maintenance. Support is by email at support@playbuy.app. Scale plan merchants receive priority handling.
Analytics and revenue attribution are estimates. They depend on visitor consent, browser behaviour and data reported by the storefront and web pixel, and they can differ from Shopify's own reports. Do not rely on them as accounting records.
10. Suspension and termination
- These Terms apply while the app is installed on your store. You can end them at any time by uninstalling the app.
- We may suspend or end your access, with notice where practical, if you materially breach these Terms and do not fix it within a reasonable time after we tell you; immediately, if the breach is serious, creates legal risk or harms the Service or others; or if Shopify ends our access to your store. We may also stop offering the Service to everyone with at least 30 days' notice.
- When the app is uninstalled, your widgets stop showing on your storefront and your Shopify access tokens are deleted straight away. About 48 hours later Shopify asks us to delete your store's data, and we then delete it as described in our Privacy Policy. Export anything you want to keep before you uninstall.
- Sections 8 and 11 to 16, and anything else that by its nature should, continue after these Terms end.
11. Disclaimers
Except as these Terms expressly say, and to the extent the law allows, the Service is provided "as is" and "as available". We disclaim all implied warranties and conditions, including of merchantability, satisfactory quality, fitness for a particular purpose and non-infringement. We do not promise any increase in sales, conversion or revenue.
12. Limitation of liability
- To the extent the law allows, neither party is liable to the other for indirect, incidental, special, consequential or punitive losses, or for loss of profits, revenue, goodwill or data, even if told they were possible.
- To the extent the law allows, our total liability arising out of or relating to the Service and these Terms is limited to the greater of (a) the fees you paid for the Service in the 12 months before the event giving rise to the claim, and (b) US$100.
- These limits do not apply to liability that cannot be limited by law, such as for fraud, or for death or personal injury caused by negligence, or to your payment obligations or your obligations under section 13.
13. Indemnity
You will defend us, and pay any damages, costs and reasonable legal fees finally awarded or agreed in settlement, against any third-party claim arising from your Merchant Content, your products or store, or your breach of these Terms or the law. We will tell you promptly about the claim, let you control the defence, and give you reasonable help at your cost. You may not settle a claim in a way that admits fault on our behalf without our consent.
14. Changes to these Terms
We may update these Terms. We will post the new version here and update the "Last updated" date. If a change is material, we will give you at least 30 days' notice by email or in the dashboard before it takes effect, unless the change is needed sooner for legal or security reasons. If you do not agree to a change, you can uninstall the app before it takes effect. If you keep using the Service after that, the new Terms apply.
15. Governing law and disputes
These Terms, and any dispute about them or the Service, are governed by [GOVERNING LAW], without regard to its conflict-of-laws rules. The courts of [VENUE / COURTS] have exclusive jurisdiction, and both parties submit to them. Before starting proceedings, each party will try in good faith to resolve the dispute by email for at least 30 days. Either party may seek urgent injunctive relief in any competent court.
16. General
- Entire agreement. These Terms, with the documents they refer to, are the whole agreement between us about the Service and replace earlier discussions.
- Order of precedence. If documents conflict, the Data Processing Addendum prevails on personal data, then these Terms, then the Acceptable Use Policy.
- Assignment. You may not transfer these Terms without our consent. We may transfer them as part of a merger, acquisition or sale of assets, and will tell you if we do.
- Events outside our control. Neither party is liable for delays or failures caused by events beyond its reasonable control, such as outages at Shopify or our providers, but this does not excuse payment.
- Notices. We send notices to your store's contact email or show them in the dashboard. You send notices to [CONTACT EMAIL], with a copy by post to [REGISTERED ADDRESS] for legal claims.
- Independent parties. We are independent contractors. Nothing in these Terms creates a partnership, agency or employment relationship, and there are no third-party beneficiaries.
- Severability and waiver. If a provision is unenforceable, it is limited to the minimum extent needed and the rest stays in effect. Not enforcing a right is not a waiver of it.
- Export and sanctions. You confirm you are not subject to, and will not use the Service in breach of, applicable sanctions or export laws.
